Can this be left outdoors with a cover?

I don't think it should be left outside without a cover - I leave it on my lanai under the roof - and I have an inexpensive umbrella partly over it (mostly to block the sun). I would ask the manufacturer if it is safe for being in the rain - I've had it outside (under a roof) for almost a year and it's never been a problem.

How do I exhaust the hot air? This is essential !

You do not "exhaust" the air since this is intended to be used as a spot cooler. just turn the exhaust fan in the opposite direction.

It is surprisingly quiet in my opinion.
